On February 19, 2007, we and XM Radio entered into an Agreement and Plan of  Merger (the ?Merger Agreement?), pursuant to which we and XM Radio will combine  our businesses through a merger of XM Radio and a newly formed, wholly owned  subsidiary of ours (the ?Merger?). Our Board of Directors and stockholders, and  the Board of Directors and stockholders of XM Radio, have approved the Merger  and the Merger Agreement.  The completion of the Merger is subject to various closing conditions,  including approval from the Federal Communications Commission and the Department  of Justice.
